By installing, accessing, or using ReelTag (the "Software" or "Service"), you agree to these Terms of Service. If you do not agree, do not use the Software. ReelTag is operated by JK.Creative LLC ("we", "us"), a Washington State limited liability company located at 522 W Riverside Ave Ste N, Spokane, WA 99201 US.
ReelTag is a self-hosted QR-code video viewer for product brands, distributors, and influencers. You purchase a one-time license tier (Tag, Rack, or Floor), receive the Software, and host it on infrastructure you control. The Service routes QR-code scans on physical products to multilingual or affiliate-attributed video pages.
Subject to these Terms and timely payment of the applicable one-time license fee, JK.Creative LLC grants you a perpetual, non-exclusive, non-transferable license to install and operate one ReelTag instance for the tier purchased. You may not resell, sublicense, white-label, or redistribute the Software without a separate written agreement. Reverse engineering is prohibited except where permitted by applicable law.
You retain all rights to product video, imagery, copy, brand assets, and customer feedback you upload to your ReelTag instance ("Your Content"). You are solely responsible for Your Content, including legal rights to display it, and for compliance with applicable advertising, consumer protection, and labeling laws in jurisdictions where your products are sold.
ReelTag supports referrer/affiliate attribution. Commissions, payouts, and disclosures between you and your influencers or referrers are your responsibility. JK.Creative LLC is not a party to your affiliate agreements and disclaims liability for disputes arising from them.
License fees are payable in U.S. dollars via Square. License fees are one-time and non-recurring. Refund requests within 30 days of purchase will be honored at our discretion if the Software has not been deployed to a production environment. Charges older than 30 days are non-refundable.
Bug fixes and security patches are provided at our discretion for active license tiers. Major version upgrades, custom integrations, and migration assistance are out of scope for the base license and are quoted separately.
The Software is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or that defects will be corrected.
To the maximum extent permitted by law, JK.Creative LLC's aggregate liability arising out of or related to these Terms or the Software shall not exceed the amount you paid for the applicable license tier in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption.
You agree to indemnify and hold harmless JK.Creative LLC, its officers, members, and agents from any claim, loss, or expense (including reasonable attorneys' fees) arising from Your Content, your use of the Software, your relationships with your customers or affiliates, or your violation of these Terms.
We may suspend or revoke your license for material breach of these Terms. Upon termination, you must cease use of the Software and destroy any copies in your possession. Sections 4, 9, 10, 11, 13, and 14 survive termination.
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws principles. Any dispute shall be brought exclusively in the state or federal courts located in Spokane County, Washington, and you consent to personal jurisdiction there.
We may update these Terms from time to time. Material changes will be reflected in the Effective date above. Continued use of the Software after changes constitutes acceptance.
